Consignor Terms & Conditions

These Terms & Conditions govern the submission, handling, auction sale and payment of merchandise consigned to Auction Mongers through the Auction Mongers Consignor Portal or otherwise accepted by Auction Mongers for consignment.

Effective: August 16, 2026

Version: 2026-08-16

1

Agreement to These Terms

By creating a consignor account, submitting merchandise for consignment, delivering merchandise to Auction Mongers, or using the Consignor Portal, you agree to these Terms & Conditions.

In these Terms, "you" and "Consignor" refer to the person or business submitting merchandise. "Auction Mongers", "we", "us" and "our" refer to Auction Mongers.

If you are acting on behalf of a business or another legal entity, you represent that you have authority to bind that entity to these Terms.

2

Consignor Account and Eligibility

You are responsible for providing accurate and current account, contact and payout information. You must promptly update your information if it changes.

You are responsible for maintaining the confidentiality of your account credentials and for activity performed through your account.

Auction Mongers may require additional information or verification before accepting merchandise, processing payouts or permitting continued use of the Consignor Portal.

3

Consignment Submissions

Merchandise may be submitted through the Consignor Portal or through another method authorized by Auction Mongers.

You must provide information that is reasonably accurate and complete, including the item title, condition, quantity, condition notes and other requested details.

Where photographs are required, the photographs must reasonably represent the merchandise being submitted. Material defects, missing components, damage or other conditions that may affect value must be disclosed.

Submission of an item through the portal does not require Auction Mongers to accept, list or sell that item.

4

Ownership and Authority to Consign

You represent and warrant that you are the lawful owner of all merchandise you consign or that you have full legal authority from the lawful owner to sell the merchandise.

Merchandise must be free from undisclosed liens, security interests, claims or other restrictions that would prevent its lawful sale.

You are responsible for any claim arising from a breach of your ownership or authority representations.

5

Receiving, Inspection and Item Information

Auction Mongers may inspect, test, photograph, measure, categorize or otherwise evaluate merchandise after it is received.

Auction Mongers may correct or supplement item titles, descriptions, categories, photographs, condition information and other listing information where reasonably necessary to prepare merchandise for sale.

The quantity and condition recorded by Auction Mongers when merchandise is received and processed may be used for auction and inventory purposes.

Acceptance of merchandise does not constitute a guarantee that the merchandise will sell or achieve any particular price.

6

Auction Assignment and Timing

Auction Mongers determines when and in which auction accepted merchandise will be listed.

Auction Mongers may combine, separate, postpone, reassign, relist or otherwise manage auction lots where reasonably necessary for auction operations.

The Consignor Portal may display auction assignment and sale information for your merchandise. Auction timing and assignment may change before the auction closes.

7

Bidding, Sale Price and Auction Results

Auction merchandise is sold through Auction Mongers' auction process. The final selling price is determined by bidding activity and is not guaranteed.

Estimates, manufacturer suggested retail prices, comparable prices, previous selling prices or other reference values are informational only and do not guarantee the amount that an item will sell for.

A lot displayed as pending has not yet produced a finalized consignor sale result. A lot displayed as sold has a recorded winning bid for purposes of the Consignor Portal, subject to these Terms and any subsequent permitted adjustments.

8

Consignment Rate and Consignor Earnings

Each Incoming Order may have an applicable Consignment Rate recorded by Auction Mongers.

Unless otherwise agreed in writing, consignor earnings for an item are calculated using the following formula:

Consignor Earnings = Winning Bid × (1 − Consignment Rate)

For example, if the Winning Bid is $100.00 and the Consignment Rate is 20%, the consignor earnings are $80.00.

The Consignment Rate applicable to an Incoming Order may be displayed in the Consignor Portal.

9

Payment Maturity and Payouts

Consignor earnings become eligible for payout after the applicable auction has been closed for at least fourteen (14) days.

Eligible consignor payouts are processed on a biweekly schedule, generally on designated Fridays. The payment date displayed in the Consignor Portal is provided for account information and may be affected by banking delays, holidays, account verification or other operational circumstances.

Your Outstanding Balance generally represents consignor earnings from sold merchandise less payouts already issued.

Matured Earnings generally represent earnings from qualifying sales that have reached the applicable maturity period, less payouts already issued.

You are responsible for maintaining accurate payout instructions. Auction Mongers is not responsible for delays resulting from incorrect, incomplete or outdated payout information supplied by you.

10

Refunds, Returns, Chargebacks and Adjustments

Auction sales may occasionally be affected by buyer refunds, payment disputes, chargebacks, item discrepancies, administrative corrections, fraud, cancelled transactions or other adjustments.

Auction Mongers may correct a consignor's sale, earnings or account balance where a transaction is reversed, refunded, cancelled or recorded incorrectly.

If an adjustment occurs after a payout has already been issued, the applicable amount may be deducted from future amounts otherwise payable to the Consignor.

11

Unsold and Relisted Merchandise

Merchandise is not guaranteed to sell during its initial auction.

Auction Mongers may, where appropriate, relist unsold merchandise, move it to another auction, combine it with other merchandise or otherwise determine how it should be remarketed.

Arrangements concerning merchandise that will no longer be offered for auction may be handled on a case-by-case basis in accordance with Auction Mongers' operating procedures and any separate written agreement with the Consignor.

12

Direct Vendor Program

Access to the Direct Vendor program is not automatic. Consignors may be required to submit an application and receive approval from Auction Mongers.

Approval may be based on factors including inventory type, sales activity, operating history, item quality, volume and compliance with Auction Mongers' requirements.

Approved Direct Vendors must follow the shipping, inventory preparation and other instructions made available to them by Auction Mongers.

Auction Mongers may modify, suspend or revoke Direct Vendor privileges where reasonably necessary.

13

Prohibited or Restricted Merchandise

You must not submit merchandise that is unlawful to possess or sell, counterfeit, stolen, subject to recall where resale is prohibited, or otherwise unsuitable for lawful auction sale.

Auction Mongers may refuse any merchandise that it determines cannot or should not be offered for sale.

Additional restrictions may apply to regulated, hazardous, age-restricted, recalled, damaged or other categories of merchandise.

14

Photographs, Product Information and Content

By submitting photographs, descriptions, product information or other content, you authorize Auction Mongers to use, reproduce, crop, resize, edit and display that content as reasonably required to evaluate, market and sell the consigned merchandise.

You represent that content supplied by you may lawfully be provided and used for those purposes.

Auction Mongers may create its own photographs, descriptions and other listing materials for consigned merchandise.

15

Storage, Pickup and Unclaimed Merchandise

Merchandise may occupy warehouse space before and after auction processing. Consignors must comply with reasonable instructions concerning delivery, removal or pickup of merchandise.

If Auction Mongers requests that merchandise be removed or collected, the Consignor must make reasonable arrangements within the timeframe provided.

Any storage fees, disposal rights or treatment of property remaining unclaimed for an extended period should be governed by any separate written notice, applicable agreement and applicable law.

16

Risk and Limitation of Liability

Auction Mongers will exercise commercially reasonable care in handling consigned merchandise but does not guarantee that merchandise will be free from loss, damage, theft, deterioration or other risk while being transported, stored, handled, inspected or sold.

To the maximum extent permitted by applicable law, Auction Mongers is not liable for indirect, incidental, special, consequential or speculative damages, including lost profits or expected auction proceeds.

Auction results are inherently uncertain. Auction Mongers does not guarantee any minimum bid, sale price, sale date, number of bidders or financial return.

17

Account Suspension and Termination

Auction Mongers may restrict, suspend or terminate a consignor account where reasonably necessary, including for suspected fraud, misuse, inaccurate information, prohibited merchandise, security concerns, unpaid obligations or material violation of these Terms.

Suspension or termination does not eliminate rights or obligations relating to merchandise previously delivered, completed auction sales, outstanding adjustments or amounts properly payable.

18

Changes to These Terms

Auction Mongers may update these Terms from time to time.

When material changes are made, the revised Terms will display a new effective date and version. Where appropriate, Auction Mongers may require existing Consignors to accept the revised Terms before continuing to use certain services.

19

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

Subject to any rights that cannot lawfully be excluded, disputes relating to these Terms or the consignment relationship will be subject to the jurisdiction of the courts of Ontario.
